DB Legal Publishing Ltd. was formed when a small group of senior paralegals and lawyers networked and agreed that there are not enough good procedural guides for paralegals that provide formatted precedents that are up to the minute and "ready to go".

After the extraordinary success of "The Guide to Corporate Records" www.evinross.ca, a corporate procedures manual for paralegals, written and published in British Columbia, Diana Haynes, one of the co-authors, teamed up with Elizabeth A. Gillis, former National Director, Corporate Services, Miller Thompson LLP, and author of "Advanced Corporate Procedures" and "Advanced Corporate Business Transactions" to write a Federal Guide to Corporate Records.

At the same time, Donna Armstrong, a corporate manager from Edmonton, Alberta, wrote the first volume of the Alberta Guide to Corporate Records.

The Guides are written in plain English to provide clear explanations, comprehensive checklists and up to the minute precedents containing detailed instructions for inserting the information required to complete each document. A DVD containing fully formatted Word precedents accompanies each Guide.

Diana Haynes

 

Diana Haynes has been a corporate commercial paralegal in BC for over 30 years and has been the corporate supervisor at several Vancouver law firms. Ms. Haynes recently spent five years as a freelance paralegal working in the corporate departments of two of Vancouver's largest law firms.

She has also worked on contract for Leitch Systems Ltd., developer of "ALF Corporate Records Management program", and for Expertext Systems Ltd., coding documents and training end-users. Ms. Haynes has been a member of the Corporate Supervisors Association for many years and is the co-author of the British Columbia Guide to Corporate Records www.evinross.ca, written with Gabrielle Komorowska.

Elizabeth Gillis

 

Elizabeth Gillis is the former Director, Corporate Services at Miller Thomson LLP. She performs substantive corporate/commercial and tax legal work under the ultimate direction and guidance of lawyers in the corporate/commercial and tax practice groups. She has extensive experience with all aspects of corporate/commercial work including incorporation, organization, corporate changes, annual proceedings, dissolution, revival, extra-provincial registration and licensing of corporations, mergers, amalgamations and continuation.

She also assisted lawyers with non-profit corporations, public corporations, tax driven corporate reorganizations, share and asset purchases, bank financings, other transactions and large projects. Elizabeth was responsible for all aspects of managing the Corporate Services department providing quality legal services in corporate searches, statutory compliance and database administration.

Donna Armstrong


Donna Armstrong worked as a corporate paralegal for over 30 years and was the Manager of Corporate Services in the Edmonton, Alberta office of a national law firm. She has extensive experience dealing with clients, in preparation of documents of all areas of corporate work including incorporation of Alberta Corporations, Professional Corporations, Unlimited Liability Corporations, Federal incorporations, Delaware Corporations, amalgamations, continuances in and out of Alberta, dividend and bonus documents, share transfers, annual maintenance, revivals and dissolutions, trade name and partnership registration and amendments and dissolutions, Limited Partnership registrations and amendments under the ultimate direction and supervision of the Edmonton corporate lawyers.
